What you are agreeing to
A plain statement of what the service provides and what it does not. It is written to match what the software actually does, so nothing here promises more than the product delivers.
Who provides the service
FeedMender is developed in Belgium by Marketinkx. The service is supplied by [FULL LEGAL NAME], trading as Marketinkx, enterprise number [ENTERPRISE NUMBER], VAT number [VAT NUMBER], with its business address at [BUSINESS ADDRESS]. These bracketed details must be completed before paid public use.
Business use only
FeedMender is intended only for merchants and other professionals acting for purposes connected with their trade or business. By requesting a scan or buying a fix, you confirm that you use the service in that professional capacity. If mandatory law nevertheless treats you as a consumer, none of your mandatory consumer rights is excluded or reduced by these terms.
What the service is
FeedMender reads a Google Shopping product data file you upload and reports what a file can be shown to get wrong. The scan and the full report are free. If you choose to buy a fix, you receive a supplemental data source that you add yourself in your own Merchant Center account. That is the whole of what is provided: a report, and, if you pay, a file.
What it is not
- It is not a Google product. FeedMender is independent and not endorsed by or affiliated with Google. It helps you meet Google's published requirements; it does not act for Google.
- It does not guarantee approval. We report what your data says. Google decides what to do with your products, on its own schedule and by its own rules, and we do not control or predict that outcome.
- It is not account access. The service never connects to your Merchant Center or your shop. You give us a file and you install the result yourself.
What a scan reflects
A report describes the file as it was at the moment you uploaded it. A later export, a change in Google's requirements, or Google's own automatic adjustments can all change the picture afterwards. A fresh scan is free whenever you want a current read.
Your responsibilities
Upload only data you are entitled to share, check the corrections before you rely on them, and keep control of the spreadsheet you install in your own Google account. The corrections are yours to use in your account; how and whether you apply them is your decision.
No guarantee of commercial results
FeedMender provides automated technical analysis and generates a supplemental product data file on a reasonable-efforts basis. Performance on Google Merchant Center, Google Shopping, advertising platforms, and other third-party services depends on factors outside FeedMender's control. These include platform policies and algorithms, account history, competition, pricing, product availability, advertising settings, and your implementation decisions.
FeedMender does not guarantee product or account approval or continued eligibility, impressions, clicks, rankings, traffic, conversions, revenue, profit, return on advertising spend, or any other sales or marketing result. You remain responsible for reviewing and testing the generated file, keeping appropriate backups, and deciding whether, when, and how to upload, activate, or otherwise implement it.
Nothing in these terms excludes or limits liability where applicable law does not permit that exclusion or limitation, including liability for fraud, wilful misconduct, gross negligence, or failure to perform an essential contractual obligation.
Incorrect fixes and remedies
If you reasonably believe a paid correction is incorrect, contact us promptly and provide enough information to reproduce and assess the issue. This normally includes the original uploaded file, the delivered output, the affected product identifiers, and any relevant platform diagnostic or other objective evidence available to you. FeedMender will assess the report in good faith.
If the paid output contains a demonstrably incorrect correction caused by FeedMender, FeedMender will first provide a corrected output without additional charge within a reasonable period. If that is not possible, or the issue is not corrected within a reasonable period, you are eligible for a proportionate refund of the affected paid part. You are eligible for a full refund if the paid deliverable is materially unusable for its essential purpose because of that incorrect correction and cannot be corrected within a reasonable period.
A platform rejection or continued disapproval does not by itself prove that a correction was incorrect. Subject to mandatory law, no refund is due solely because of sales or marketing results, a platform policy or algorithm change after the scan, incorrect or incomplete customer data, customer modification, incorrect implementation, or use outside the supplied instructions. This policy does not reduce any remedy that mandatory law gives you.
Limits of liability and loss reduction
To the extent permitted by law, FeedMender is responsible only for direct, reasonably foreseeable and documented loss caused by its breach of these terms. It is not responsible for indirect or speculative loss, or for loss of profit, revenue, opportunity, goodwill, anticipated savings, advertising spend, or data, except where applicable law prohibits that exclusion. You must take reasonable steps to limit loss, stop using an output once you know or reasonably should know that it may be incorrect, and give FeedMender a reasonable opportunity to investigate and correct the issue.
Subject to the liabilities that cannot legally be limited, FeedMender's total aggregate liability arising from an affected paid fix will not exceed [LIABILITY CAP TO BE SET AFTER LEGAL AND INSURANCE REVIEW]. This draft cap is not effective until it is completed and legally reviewed.
Price, tax and delivery
The applicable one-time price and any tax are shown in Stripe Checkout before you confirm payment. A browser return from Checkout is not proof of payment; the repair starts only after Stripe confirms it to FeedMender. If a confirmed payment cannot be turned into the promised files after the safe retry limit, the system requests a full refund. Available output files must be downloaded before the six-hour expiry time shown for that scan.
Belgian law and disputes
These terms are governed by Belgian law. For customers acting in a professional capacity, the courts of [BELGIAN JUDICIAL DISTRICT] have exclusive jurisdiction, unless mandatory law requires a different court or law. Please contact us first so that we can try to resolve a complaint in good faith.
